These Terms contain a mandatory arbitration provision that, as further set forth below (Governing Law and Dispute Resolution), requires the use of arbitration on an individual basis to resolve disputes, rather than jury trials or any other court proceedings, or class actions of any kind.
For clarity and comprehension, we have defined certain words used in the Terms and on the Websites. Additional definitions are included elsewhere in the Terms.
"Content" means all materials and content, including designs, editorial, text, graphics, audiovisual materials, multimedia elements, photographs, videos, music, sound recordings, reports, documents, software, information, formulae, patterns, data and any other work.
“Member Firm” means a local partnership, firm or other entity that is a member of the PwC network of firms, each of which is a separate legal entity, as well as any affiliate or subsidiary of any Member Firm.
“Partner” and “Principal” mean an individual who is a partner, principal, member, shareholder or equivalent of a Member Firm, in accordance with terminology commonly used in professional services organisations. Likewise “office” refers to any office of one or more Member Firms in the relevant jurisdiction.
“PwC Parties” refers collectively and inclusively to the individual Member Firms of the PwC network, including their respective officers, directors, partners, principals or equivalent; personnel; affiliates; business associates; licensors; and contractors and subcontractors.
“Registered User” means a user who has registered and created an Account with PwC to access enhanced features of a Website.
“User” means all users of a Website.
“you" means you as an individual user of a Website.
The Websites provide information about PwC, including thought leadership and the services and products we provide. References to “the site,” “the Website,” “the Websites”, and “www.strategy-business.com” include all software, content and features provided within the relevant Website(s).
The Websites offer a range of interactive features, such as access to premium and personalized content, user profiles, reading lists, commenting and other publicly accessible collaborative features. We may at any time assign our rights and obligations under these Terms, in whole or in part, without notice to you. You may not assign these Terms without our prior, written consent. These Terms will inure to the benefit of and bind you and us and our respective personal and legal representatives, successors and permitted assigns.
You agree that no joint venture, partnership, fiduciary, employment or agency relationship exists between us and you as a result of these Terms or use of the Websites.
Neither party will be responsible for a failure to fulfil its obligations under these Terms or for delay in doing so if such failure or delay is due to circumstances beyond its reasonable control, such as acts of nature, acts of government, war, riots, strikes and accidents in transportation, but excluding a lack of financing, cash or credit.

If a particular term is found to be unenforceable, this will not affect any other terms.
Unless Terms and Conditions available on a particular Website state otherwise, these Terms will be governed by and construed, interpreted and enforced in accordance with the domestic laws of the State of New York, without giving effect to any provisions that would require the laws of another jurisdiction to apply and regardless of your location. The parties expressly disclaim the applicability of, and waive any rights based on, the Uniform Computer Information Transactions Act, the Uniform Commercial Code, or the United Nations Convention on Contracts for the International Sale of Goods, however each may be codified or amended. All disputes arising out of or related to these Terms or the subject matter of these Terms (including the Websites and the use thereof) or any aspect of the relationship between you and PwC under these Terms, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory, will be resolved through final and binding arbitration before a neutral panel of three arbitrators instead of in a court by a judge or jury and you agree that PwC and you are each waiving the right to trial by a jury. You agree that any arbitration under these Terms will take place on an individual basis; class arbitrations and class actions are not permitted and you are agreeing to give up the ability to participate in a class action. Notwithstanding the foregoing, nothing in these Terms will preclude either party from seeking equitable relief in a court having jurisdiction. The arbitration will be conducted in accordance with the Rules for Non-Administered Arbitration of the International Institute for Conflict Prevention and Resolution then in effect (“CPR Rules”). The arbitration will be conducted before a panel of three arbitrators selected using the screened process provided for in the CPR Rules. The arbitration panel will have no power to award non-monetary or equitable relief of any sort, or to award damages inconsistent with these Terms (including Section 16). Judgment on any arbitration award may be entered in any court having jurisdiction. All aspects of the arbitration will be treated as confidential. You acknowledge and agree that any demand for arbitration must be issued within one (1) year from the date that you became aware or should reasonably have become aware of the facts that give rise to PwC’s alleged liability and in any event no later than two (2) years after the cause of action accrued.
You are responsible for complying with all applicable U.S. and non-U.S. export control laws and economic sanctions programs (collectively, “Trade Control Laws”) including comprehensive U.S. sanctions against Cuba, Iran, North Korea, Darfur (region of Sudan), Syria, and Crimea (region of Ukraine) (collectively, “Sanctioned Countries”), as well as individuals and entities identified on, or owned or controlled by or acting on behalf of entities identified on, applicable government restricted party lists (collectively, “Restricted Parties”). You represent and warrant that you (a) are not a Restricted Party or acting on behalf of Restricted Parties; (b) are not located or ordinarily resident in, organized under the laws of, or acting on behalf of a Sanctioned Country; (c) will not export, re-export or otherwise transfer access to your Account or the content of the Websites to a Sanctioned Country or Restricted Party; and (iv) will not access or otherwise use the Websites or content of the Websites from a Sanctioned Country.
